Terms and Conditions
of the Event: Dispute Resolution in M&A Transactions INTERNATIONAL CONFERENCE 2026
(“Terms”)
§ 1
Scope of the Terms
1. These Terms set out the rules for participation in the event entitled Dispute Resolution in M&A Transactions INTERNATIONAL CONFERENCE 2026 (“Event”).
2. The organizer of the Event is Polski Komitet Narodowy Międzynarodowej Izby Handlowej (ICC Poland) with its registered office in Warsaw at ul. Leona Kruczkowskiego 8, 00-380 Warsaw, KRS: 0000061010, REGON: 017058331 (“Organizer”).
3. The Event is being held with the support of:
- GESSEL, KOZIOROWSKI Kancelaria Radców Prawnych i Adwokatów sp.p. with its registered office in Warsaw at ul. Sienna 39, 00-121 Warsaw, KRS: 0000892064, NIP: 5252070586 (“GESSEL”) as the entity responsible for operational organization of the Event.
4. The Terms are available in the Event registration form available on the Event website.
5. Participants are obligated to acknowledge and accept these Terms prior to purchasing a Conference ticket and to comply with the provisions hereof.
6. The Event shall be held on 21-22 May 2026 at the Polish History Museum, ul. Gwardii 1, 01-538 Warsaw, Poland.
7. These Terms apply to, and shall be binding for, all Participants of the Event.
§ 2
Conditions of Participation
1. A Participant may take part in the Event only after accepting these Terms.
2. Acceptance of these Terms shall encompass acceptance of both the terms governing sale of Event tickets and the terms of participation in the Event.
3. Participation in the Event is open only to adults.
4. Participation in the Event is subject to a fee.
5. The ticket price shall depend on the type of ticket selected and is displayed prior to purchase.
6. Registration for the Event takes place upon successful payment of the ticket price.
7. The contract regarding participation in the Event shall be executed at the moment of successful payment for the ticket, as qualified by further provisions concerning Promotional Tickets as set out in § 3 below.
8. Upon successful payment, the Participant receives confirmation of registration and access to the Event ticket by electronic means.
§ 3
Types of Tickets and Eligibility Verification
1. The following types of tickets are available for the Event:
- standard ticket,
and - ticket for members of the YAAF association,
- student ticket,
- ticket for members of the Ukrainian Bar Association
(the tickets referred to under items b-d above are jointly referred to as “Promotional Tickets”).
2. Purchase of a Promotional Ticket shall require prior verification of the Participant’s eligibility for the given Promotional Ticket category.
3. Selection of a Promotional Ticket shall be taken as the Participant’s request to purchase such Promotional Ticket and consent to subsequent verification of eligibility – it shall not constitute execution of a contract regarding participation.
4. For purposes of eligibility verification, the Participant shall provide the data required by the Organizer. Such data are subject to verification by the Organizer.
5. Verification may include, in particular:
- confirmation of membership in the relevant association,
- confirmation of student status.
6. The Participant shall be informed of the result of eligibility verification via e-mail.
7. If eligibility verification is positive, the Participant shall be enabled to proceed with and complete the ticket purchase as per the ticket purchase process set out in § 4 of these Terms.
8. In the event of a negative verification result, the Participant may, at her/his discretion, purchase a standard ticket or forego participation in the Event.
9. Any and all Event tickets shall have the legal status of digital content, as defined by applicable Polish laws. Tickets shall be sent electronically to the e-mail address provided by the Participant promptly after purchase. A printout of a ticket shall constitute a visualization of the ticket only and is not valid for resale.
§ 4
Ticket Purchase Process
1. The ticket purchase process for the Event shall be as follows:
- standard ticket:
- a user visiting the Event website is presented with a list of available ticket categories;
- a user who selects a standard ticket is asked to provide the relevant personal data, to acknowledge and confirm acceptance of these Terms, and to declare waiver of her/his statutory right of rescission due to immediate provision of the service whereupon, by selecting the “buy ticket” option, she/he is redirected to the payment gateway;
- Promotional Ticket:
- a user who selects a Promotional Ticket is asked to provide the relevant personal data and to request verification of her/his eligibility by selecting the “confirm eligibility for the discount” option;
- upon positive verification of eligibility, the user receives an e-mail with a link enabling completion of the ticket purchase process;
- prior to completing the purchase of any ticket, the user is asked to provide the relevant personal data, to acknowledge and confirm acceptance of these Terms, and to declare waiver of her/his statutory right of rescission.
2. The contract for participation in the Event is executed at the moment of successful payment of the ticket price.
3. The Event ticket is delivered in digital form promptly upon execution of the contract.
4. Upon execution of the contract, the Participant shall receive confirmation of execution of the contract and of successful registration for the Event by electronic means.
5. Seeing as any and all Event tickets have the legal status of digital content, as defined by applicable Polish laws, Participants may not rescind the contract for participation in the Event or return tickets. Participants may request that the Organizer changes the personal data to which a purchased ticket has been registered by writing to the e-mail address: [email protected].
6. The request referred to in § 4.5 should include the details of the person to whom the ticket is to be transferred and indicate whether that person is entitled to a discount (and if so, on what basis).
7. If the ticket is to be transferred to a person entitled to a discount, that person shall be subject to individual verification as per § 4.1.b above.
8. In the event that it is established that the person to whom the ticket is transferred is not entitled to the discount with which the ticket was first purchased, the original Participant requesting transfer of the ticket shall be obligated to pay the difference in ticket prices.
§ 5
Rights and Obligations of the Organizer
1. The Organizer is obligated to ensure due organization of the Event, in particular to:
- provide the venue and infrastructure necessary for the Event,
- ensure due course of the Event in accordance with the published program,
- coordinate the organizational aspects of the Event,
- ensure appropriate technical and organizational support during the Event.
2. The Organizer may outsource any and all tasks related to organization of the Event (including supervising ticket purchase and/or eligibility verification) to GESSEL.
3. The Organizer shall remain responsible vis a vis the Participants for performance of obligations related to the Event, also with respect to any obligations outsourced to GESSEL.
4. The Organizer shall not be liable for the quality or content of lectures delivered by speakers or for any utility or results which the Participant may or may not achieve as a result her/his participation in the Event.
5. The Organizer shall not be liable for the consequences of disclosure of any legally protected secrets or business secrets, provided that such disclosure occurred without Organizer’s knowledge or direct instruction.
6. The Organizer shall not be liable for items lost or left behind by Participants.
7. The Organizer reserves the right to change the Event program for valid reasons, including reasons beyond its control.
8. The Organizer shall not be liable vis a vis the Participant for cancellation of the Event in whole or in part due to force majeure.
§ 6
Rights and Obligations of the Participant
1. While taking part in the Event, the Participant shall be obligated to observe and respect the rights and dignity of other Participants and of the Organizer.
2. During the Event, the Participant shall be obligated to maintain appropriate conduct and to show respect for other Participants.
3. The Participant shall be liable for any damage caused through her/his deliberate actions or negligence.
4. In the event of Participant’s material breach of the obligations laid down herein, the Organizer reserves the right to restrict the Participant’s participation in the Event or to exclude the Participant from the Event altogether and to terminate the contract regarding participation with immediate effect. In such an event, the Participant shall not be entitled to any refund of the participation fee in whole or in part.
§ 7
Copyright
1. Any and all materials made available to the Participant during the Event are for Participant’s personal use only. The Participant may not distribute, copy, reproduce, make available to third parties, or modify the received materials in any manner.
2. The Participant may not record the Event in any audio or audio-visual technology or form.
3. The Organizer may record and photograph the Event, including Speakers’ presentations and Participants attending the Event. The Organizer, GESSEL, and the Event Partners listed on the Event website may publish such recordings and photographs on their respective websites and/or other communications channels for information, documentation, and promotional purposes in accordance with applicable data protection laws.
4. The Participant hereby consents to publication of her/his image by the aforementioned entities for the purposes specified above. If the Participant does not wish to be recorded or photographed, they should inform the photographer or cameraman.
§ 8
Personal Data Processing
1. The Organizer is the controller of the Participants’ personal data within the meaning of applicable data protection laws. Detailed information regarding personal data processing is set out in the Organizer’s Data Protection Privacy Policy available on the Event website and in the Application.
§ 9
Costumer complain
1. Each Participant may lodge a Complaint regarding the ticket purchase process, in particular the process of verification of eligibility for discounted tickets.
2. Complaints may be submitted electronically to the following e-mail address: [email protected] or in writing to the GESSEL’s postal address: GESSEL, KOZIOROWSKI Kancelaria Radców Prawnych i Adwokatów sp.p., ul. Sienna 39, 00-121 Warsaw.
3. In order to facilitate the consideration of the Complaint, it should include:
- the Participant’s details,
- a description of the situation that is the subject of the complaint, and
- the Participant’s expectations regarding the resolution of the Complaint.
4. Complaints shall be processed without undue delay, no later than within 14 days from the date on which GESSEL or the Organizer became aware of its content. To be considered within the deadline, it is sufficient to send a response before its expiry. If GESSEL nor the Organizer has not responded to the Complaint within the time limit referred to above, the Complaint shall be deemed to have been accepted.
§10
Final Provisions
1. These Terms shall apply from the date of their publication.
2. Issues not regulated herein shall be governed by applicable provisions of generally binding law, in particular the Polish Civil Code.
